  1. BID SUBMISSION INSTRUCTIONS: Bids MUST be submitted by 12:00 pm CST, April 27, 2022 to Harris Real Estate & Auction, 3855 State Route 45 North, Mayfield, KY 42066 in a sealed envelope labeled SEALED DUAL BID FOR PETERSON FEED & FARM PROPERTY. Bidders must also label the bid envelope with their name and address. Bidders must use the Sealed Bid Form found in the Property Information Package (PIP) or on the Internet at www.harrisauctions.com.  Bids must be accompanied by a deposit in the amount of $25,000.00 in certified or bank cashier’s check which will become part of the earnest money deposit and non-refundable to the Buyer. The check shall be made payable to Harris Auctions, Escrow Agent. The bidder shall sign the Sealed Bid Form.  It is the sole responsibility of the bidder to ensure that their Sealed Bid is received by the bid deadline.  It is suggested that all bids be sent via overnight mail or hand delivered and that confirmation of receipt is received by bidder. Sealed bids received after 12:00 pm CST, April 27, 2022 will be returned, unopened, to sender.  In addition, the bidder must be prepared to execute the Purchase and Sale Agreement on or before May 3, 2022 upon being declared the Winning Bidder. BID OPENING AND RESPONSE: Bids will be opened by Harris Real Estate and Auction at their office 3855 State Route 45 North, Mayfield, KY   Seller reserves the right but not the obligation to select the best bids submitted by the deadline on the Sealed Bid Offer Form with the appropriate deposit. The deposit checks of the remaining bidders will be returned.  The selected bidders may be notified in two business days, via phone, fax or e-mail, and invited to participate in the Private Outcry Auction.

 

  1. PRIVATE OUTCRY AUCTION: At Seller’s sole discretion, a Private Outcry Auction will be held on May 3, 2022 at Premier Farm Realty Group & Auction 8721 Commercial Blvd Ste A, Pevely, MO 63070 at 12:00 PM with the Best Bidders as determined by Seller.  The initial down payment MUST be increased to Fifteen Percent (15%) of the Sale Price on May 3, 2022 at the conclusion of the Private Outcry Auction upon acceptance of the winning bid and signing of the Purchase & Sale Agreement, Said deposit will be held by Harris Real Estate & Auction or Title Company as Escrow Agent pursuant to the terms of the Purchase and Sale Agreement.

 

 

  1. PROPERTY INFORMATION PACKAGES: A Property Information Package (PIP) providing more specific information on the properties is available.   1. PROPERTY CONDITION: Except as expressly set forth in the Purchase and Sale Agreement, if and when executed; (A) The Property is being sold “as is “ and with all faults, as of the closing date, without any representations or warranties whatsoever, including without limitation, concerning its condition, fitness for any particular purpose, merchantability, compliance with governmental laws, ordinances or regulations or any other warranty, express or implied; (B) The successful bidder who becomes a party to a binding Purchase & Sale Agreement will be acquiring the property based solely on its own independent investigations and inspections of the property and not in reliance on any information provided by Harris Real Estate & Auction, Seller or their agents or contractors; and (C) neither Harris Real Estate & Auction nor Seller will be obligated to alter, repair or improve the property.

 

  1. BID AWARD: All bids shall be irrevocable and subject to acceptance through May 3, 2022. All persons submitting bids will be notified via phone, fax or e-mail of their invitation to the Private Outcry Auction or rejection of their bid.

 

  1. BID ACCEPTANCE-REJECTION: Seller reserves the right, in its sole and absolute discretion, to reject any and all bids submitted.   1. CLOSING: Shall take place on or before May 27, 2022 at the location set forth in the Purchase & Sale Agreement. In the event any Purchase and Sale Agreement is terminated or the sale otherwise fails to close, the Seller reserves the right to enter into a Purchase and Sale Agreement with any bidder, however, Seller need not offer the property to, or accept the bid of any other bidder.
